Terms and Conditions of Service

These Terms and Conditions govern your use of ViewMetrics.
Please read them carefully. By creating an account, accepting an invitation, connecting a third-party platform, starting a trial, purchasing a subscription or otherwise using ViewMetrics, you agree to these Terms.
1. About ViewMetrics
ViewMetrics is operated by Viewmetrics Ltd, a company registered in England and Wales under company number 17273580.

ViewMetrics provides analytics, content organisation and reporting tools for creators, publishers, managers, agencies and other authorised users of supported third-party platforms.
References in these Terms to “ViewMetrics”, “we”, “us” or “our” mean Viewmetrics Ltd.
2. Eligibility and authority
You must be at least 18 years old and legally capable of entering into a contract to use ViewMetrics.
You must:
provide accurate and current information;
use ViewMetrics only for lawful purposes;
have authority to act for any organisation or workspace you use;
have authority to connect every third-party account you add;
comply with the terms and policies of any connected third-party platform.
If you use ViewMetrics on behalf of a business, agency, client or other organisation, you confirm that you have authority to bind that organisation to these Terms.
You must not connect or access a YouTube channel, Facebook Page, Instagram account or other third-party account without appropriate permission.
3. Your account
3.1 Account security
You are responsible for keeping access to your ViewMetrics account and associated email account secure.
You must:
keep your account details current;
prevent unauthorised use;
not share authentication links or other login methods;
tell us promptly if you suspect unauthorised access.
You are responsible for activity carried out through your account unless it results from our failure to use reasonable care and skill or from another matter for which we are legally responsible.
3.2 Individual accounts
Each individual should use their own ViewMetrics account.
You must not share a single personal account with colleagues or allow another person to impersonate you.
3.3 Account restrictions
We may require you to verify your identity, authority or control of a connected account where reasonably necessary for:
security;
fraud prevention;
support;
legal compliance;
third-party platform compliance.
4. Workspaces and members
A workspace is an area within ViewMetrics used to manage connected accounts, reports, members and organisational information.
4.1 Roles and permissions
Workspaces may have different membership roles and permissions.
The permissions available to a member will be shown within the service and may depend on their assigned role.
Workspace owners are responsible for:
managing membership;
controlling access;
keeping member roles appropriate;
managing billing;
handling ownership transfer;
approving destructive workspace actions.
4.2 Invitations
You must invite only people who are authorised to access the workspace and its information.
You are responsible for reviewing and removing access when it is no longer needed.
4.3 Ownership
A workspace must have an owner.
An owner may be required to transfer ownership before leaving the workspace or deleting their account.
We may prevent an action that would leave a workspace without an owner or otherwise place its information at unreasonable risk.
4.4 Leaving or being removed
When you leave or are removed from a workspace:
your access to that workspace ends;
authorisations associated with you may be removed;
information belonging to the workspace may remain available to its remaining authorised members;
your access to other workspaces is not automatically affected.
Where your departure materially affects a connected account, we may notify the remaining authorised members.
5. Connecting third-party platforms
5.1 Authorisation
ViewMetrics connects to supported third-party platforms using OAuth or another approved authorisation method.
By connecting a third-party account, you:
confirm that you have authority to connect it;
authorise ViewMetrics to access and process permitted information;
agree to comply with the relevant platform’s terms and policies;
acknowledge that access depends on permissions granted by that platform.
ViewMetrics will request permissions that it reasonably considers necessary to provide its supported features.
5.2 Ending access
An authorisation may be removed or no longer used where:
you disconnect the account;
your workspace access ends;
the platform withdraws or rejects the authorisation;
you request deletion;
continued use would breach law, these Terms or platform rules;
the relevant integration is no longer supported.
The method used to disconnect or revoke access may differ between platforms.
5.3 Third-party responsibility
Third-party platforms are independent from ViewMetrics.
We are not responsible for:
their services;
their security;
their terms or privacy practices;
their availability;
changes they make to their APIs;
decisions to restrict or withdraw access;
information they provide or fail to provide.
Your use of a connected platform remains subject to that platform’s own terms and policies.
6. Trials and promotions
6.1 Eligibility
Trials and promotions may be limited by criteria including:
platform account;
ViewMetrics account;
workspace;
organisation;
payment method;
previous subscription history;
another reasonable eligibility condition disclosed with the offer.
A platform account may be eligible for only one trial or promotion even if it is later connected through different account details.
6.2 Previous use
We may use relevant historical records to determine:
whether a trial or promotion has already been used;
whether an account is returning;
whether an offer is being used contrary to its conditions;
whether activity indicates fraud or abuse.

6.3 Trial terms
The duration, features and limits of a trial will be shown when it is offered.
Unless we clearly tell you otherwise, starting a free trial does not guarantee continued free access after the trial ends.
Where a trial will convert into a paid subscription, the applicable price, billing frequency and cancellation arrangements will be shown before you agree.
6.4 Misuse
You must not attempt to evade trial or promotional limits.
We may refuse, withdraw or end a trial or promotion where we reasonably believe:
eligibility conditions have not been met;
information supplied is inaccurate;
the offer is being abused;
use is fraudulent or unlawful;
the offer has expired or been withdrawn.
7. Subscriptions and payment
7.1 Plans and prices
ViewMetrics may offer different plans, features, limits and billing periods.
The price and principal features of your plan will be shown before purchase.
Unless expressly stated otherwise, prices exclude any applicable VAT or other taxes.
7.2 Payment
Payments may be processed by a third-party payment provider.
You authorise us and our payment provider to charge the payment method associated with your subscription.
You must provide accurate billing information and maintain a valid payment method.
7.3 Renewal
Where a subscription renews automatically, this will be made clear before purchase.
Unless cancelled, an automatically renewing subscription will renew for the billing period shown at purchase.
We will provide any renewal notices required by applicable law.
7.4 Cancelling a subscription
You may cancel through the available account or billing settings or by contacting us.
Unless otherwise stated:
cancellation prevents the next renewal;
access continues until the end of the current paid period;
cancelling a subscription does not delete your Account;
cancelling a subscription does not delete a workspace;
cancelling a subscription does not necessarily disconnect third-party accounts.
Any rights to cancel immediately, receive a refund or obtain another remedy under applicable law remain unaffected.
7.5 Refunds
Payments are not refundable merely because you choose not to use the service.
This does not affect:
statutory cancellation rights;
remedies for services that do not conform to contract;
refunds we expressly promise;
any other right that cannot lawfully be excluded.
7.6 Failed payments
If a payment fails, we may:
retry the payment;
ask you to update your payment method;
restrict paid functionality;
suspend the subscription;
terminate the subscription after reasonable notice.
You remain responsible for properly incurred charges.
7.7 Price changes
We may change subscription prices by giving reasonable advance notice.
A price change will normally apply from a future renewal date.
You may cancel before the new price takes effect.
7.8 Consumer cancellation rights
If you are acting as a consumer, you may have a statutory right to cancel a distance contract within 14 days.
Where you expressly ask us to begin providing paid services during that period, you may be required to pay a proportionate amount for services supplied before cancellation, where permitted by law.
Nothing in these Terms restricts your statutory consumer rights.
8. Your materials
You retain any rights you hold in materials you provide to ViewMetrics, including:
logos;
uploaded images;
tags and organisational labels;
report text;
other materials you create.
You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, process, adapt and display those materials only as reasonably necessary to:
provide the service;
secure the service;
support you;
comply with law;
exercise our rights under these Terms.
You confirm that:
you have the necessary rights to provide those materials;
their use through ViewMetrics will not infringe another person’s rights;
they are not unlawful, misleading, defamatory or harmful.
You may withdraw this licence by deleting the relevant materials or ending your Account, except where continued retention is permitted under these Terms or our Privacy Policy.
9. Third-party content and platform data
Content and information supplied by YouTube, Meta or another third-party platform remain subject to that platform’s rights, terms and licences.
These Terms do not transfer ownership of third-party platform information to you or ViewMetrics.
You may use information available through ViewMetrics only:
for lawful purposes;
within the permissions available to you;
in accordance with relevant platform rules;
without infringing another person’s rights.
You must not use ViewMetrics to obtain or distribute platform information that you are not authorised to access.
10. Reports and sharing
You may create, download and share reports using information you are authorised to access.
You are responsible for:
choosing appropriate recipients;
protecting confidential information;
complying with contractual obligations to clients, creators, brands or agencies;
presenting information accurately;
not removing required attribution;
not suggesting that ViewMetrics, a platform or another party endorses your report unless that is true.
Shared or downloaded reports may remain accessible outside ViewMetrics after you delete the underlying information. You are responsible for copies you create or distribute.
11. Analytics and accuracy
ViewMetrics depends on information supplied by third-party platforms.
We do not guarantee:
that platform information is complete or error-free;
that every metric is available for every account or content type;
uninterrupted access to platform APIs;
that historic information will always remain available;
that a platform will not revise information previously supplied;
that results shown by different platforms will be directly comparable.
Some information may be:
estimated;
modelled;
derived;
allocated;
aggregated;
based on incomplete platform information.
Where appropriate, ViewMetrics will identify estimated or derived information within the service.
Reports and analytics are provided for information and business analysis. They are not legal, tax, investment or financial advice.
You are responsible for decisions made using ViewMetrics information.
12. Acceptable use
You must not:
use ViewMetrics unlawfully;
connect an account without authority;
access or attempt to access information belonging to another user or workspace;
bypass access controls, plan restrictions or usage limits;
evade trial or promotional conditions;
misuse a third-party API;
scrape, harvest or systematically extract information except through an expressly permitted feature;
upload malware or harmful code;
disrupt or overload the service;
probe, test or circumvent security without written permission;
reverse engineer the service except where applicable law expressly permits it;
use ViewMetrics to infringe intellectual-property, privacy or confidentiality rights;
use reports or analytics in a misleading or fraudulent way;
resell access to ViewMetrics unless we have agreed this in writing.
You must not attempt to gain unauthorised access to:
another account;
another workspace;
credentials;
administrative functionality;
underlying systems or infrastructure.
We may investigate suspected misuse and take proportionate protective action.
13. Availability and changes
ViewMetrics is provided on an “as available” basis.
We do not guarantee that every feature will always be:
available;
uninterrupted;
error-free;
compatible with every device or browser;
supported by every third-party platform.
We may:
maintain or update the service;
change features;
modify supported metrics;
alter usage limits;
update integrations;
withdraw obsolete or unsafe functionality;
suspend features affected by legal or platform requirements.
Where reasonably practicable, we will give notice of a material reduction to a paid service.
No service-level commitment applies unless we have agreed one separately in writing.
14. Service communications
We may send communications reasonably necessary to operate your account or the service, including messages about:
account access and security;
invitations and workspace membership;
billing and subscriptions;
connected accounts;
interrupted service or collection;
deletion or retention;
material changes to ViewMetrics or these Terms;
legal or regulatory matters.
These operational messages are not marketing communications.
You may opt out of marketing communications at any time, but you cannot opt out of communications necessary to administer an active account or contractual relationship.
15. Data protection
Our Privacy Policy explains:
what information we collect;
why we use it;
who we share it with;
how long we retain it;
how deletion works;
your data-protection rights.
You should read the Privacy Policy before using ViewMetrics.
Nothing in these Terms limits any right you have under applicable data-protection law.
16. Disconnecting, leaving and deletion
Cancelling a subscription, disconnecting a third-party account, leaving a workspace, deleting a workspace and deleting your ViewMetrics Account are separate actions.
16.1 Disconnecting a third-party account
When a third-party account is disconnected:
access through that connection ends;
the relevant authorisation will be removed or no longer used as appropriate;
related information will be handled in accordance with our Privacy Policy, applicable law and relevant platform requirements.
Disconnecting from ViewMetrics does not delete content held by YouTube, Facebook, Instagram or another third-party platform.
16.2 Leaving a workspace
Leaving a workspace:
ends your membership and access;
may remove authorisations associated with you;
does not delete the workspace;
does not delete information belonging to its remaining members.
Owners may need to transfer ownership before leaving.
16.3 Removing a member
A workspace owner or another member with appropriate permission may remove an eligible member.
Removal ends that person’s workspace access and may remove authorisations associated with them.
Remaining members may be notified where the removal materially affects a connected account or service.
16.4 Deleting a workspace
Deleting a workspace permanently removes or schedules the deletion of its workspace-specific information, subject to:
technical completion;
our Privacy Policy;
legal retention requirements;
billing and accounting requirements;
fraud and security records;
third-party platform requirements.
Workspace deletion cannot be undone.
Deleting a workspace does not delete content held by a third-party platform.
16.5 Deleting your Account
Deleting your ViewMetrics Account removes or schedules the deletion of your:
account access;
profile;
memberships;
associated authorisations;
other personal information, subject to lawful retention.
You may need to transfer workspace ownership or resolve an owned workspace before account deletion can be completed.
We may retain limited information where reasonably necessary or legally required for:
billing and accounting;
security;
fraud and abuse prevention;
enforcing trial or promotional limits;
legal claims;
regulatory compliance;
maintaining an appropriate record of our commercial relationship.

16.6 Permanent deletion
Information that has been permanently deleted may not be recoverable.
Creating a new account or reconnecting a third-party platform does not guarantee that previously deleted information will be restored.
17. Suspension and termination
We may restrict, suspend or terminate access where reasonably necessary because:
you breach these Terms;
payment remains overdue;
we reasonably suspect fraud or abuse;
your use creates a security or legal risk;
a third-party platform or authority requires action;
continued provision is no longer technically or commercially reasonable;
the service or relevant feature is discontinued.
Where appropriate, we will provide notice and a reasonable opportunity to remedy the issue.
We may act immediately where necessary to address:
serious misconduct;
fraud;
unlawful use;
unauthorised access;
an urgent security risk;
a binding legal or platform requirement.
Termination does not affect rights, liabilities or payment obligations that arose before termination.
18. ViewMetrics intellectual property
ViewMetrics and its licensors own all rights in:
the service;
software;
source code;
designs;
branding;
documentation;
original interfaces;
original reports and templates;
other materials created by or for ViewMetrics.
We grant you a limited, non-exclusive, non-transferable and revocable right to use ViewMetrics in accordance with these Terms for the duration of your account or subscription.
You must not, without our written permission:
copy or reproduce the service;
sell or sublicense access;
create a competing service using substantial parts of ViewMetrics;
remove intellectual-property notices;
use ViewMetrics branding in a misleading way.
This section does not claim ownership of your materials or third-party platform information.
19. Liability
19.1 Liability that cannot be excluded
Nothing in these Terms excludes or limits liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation;
deliberate misconduct;
any liability that cannot lawfully be excluded;
your statutory rights as a consumer.
19.2 Consumers
If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.
We are not responsible for business losses arising from consumer use.
19.3 Business users
If you use ViewMetrics for business purposes, then, to the fullest extent permitted by law:
neither party is liable for indirect or consequential loss;
we are not liable for loss of profit, revenue, business, opportunity, goodwill or anticipated savings;
we are not liable for loss caused solely by a third-party platform changing, restricting or withdrawing its service;
our total liability arising from ViewMetrics in any 12-month period is limited to the greater of:
£100; or
the fees paid or payable by you for ViewMetrics during that period.
This limit does not apply to liability listed in section 19.1.
You are responsible for keeping copies of reports or other information that you need outside ViewMetrics.
20. Events outside our reasonable control
We are not responsible for delay or failure caused by events outside our reasonable control, including:
third-party platform outages;
hosting or internet failures;
utility failures;
cyberattacks despite reasonable safeguards;
legal or regulatory action;
industrial disputes;
natural disasters;
failure of a supplier.
We will take reasonable steps to reduce the impact of such an event.
21. Changes to these Terms
We may update these Terms to reflect:
changes to ViewMetrics;
changes to subscriptions;
legal or regulatory developments;
security requirements;
third-party platform requirements.
We will give reasonable notice of a material change.
Where a change materially disadvantages an active paid user, they may cancel before it takes effect.
The date at the beginning of these Terms shows when they were last updated.
22. General provisions
22.1 Assignment
You may not transfer your rights under these Terms without our written agreement.
We may transfer our rights and obligations as part of a merger, reorganisation, financing or sale, provided this does not reduce any mandatory consumer protection.
22.2 Severability
If any provision is found to be unlawful or unenforceable, the remaining provisions will continue to apply.
22.3 No waiver
A delay in exercising a right does not waive that right.
22.4 Entire agreement
If you are a business user, these Terms, your selected plan and any separately agreed written terms form the entire agreement between us concerning ViewMetrics.
Nothing in this section excludes liability for fraud.
22.5 Order of precedence
Where we enter into a separate written agreement with you, that agreement will prevail over these Terms to the extent of any conflict.
22.6 Third-party rights
Unless expressly stated otherwise, no person who is not a party to these Terms may enforce them under the Contracts (Rights of Third Parties) Act 1999.
23. Governing law and disputes
These Terms are governed by the law of England and Wales.
If you are a business user, the courts of England and Wales have exclusive jurisdiction.
If you are a consumer, you may bring proceedings in any court that has jurisdiction under applicable consumer law, including the courts of the part of the United Kingdom in which you live.
Please contact us first so that we can try to resolve any concern informally.
